These Driver Rewards Additional Terms (“Driver Rewards Terms”) supplement and form part of the Motive Terms of Service available at https://gomotive.com/legal/terms-of-service/ (the “Terms”). Capitalized terms not defined here have the meanings given in the Terms.
For purposes of these Driver Rewards Terms, “Customer” means the entity that enables or funds Driver Rewards for its End Users.
BY ENABLING, ACCESSING, OR USING DRIVER REWARDS, CUSTOMER AGREES TO THESE DRIVER REWARDS TERMS.
1. Driver Rewards
Motive Driver Rewards allows Customers to establish and fund loyalty, award, recognition, incentive, or promotional programs for eligible End Users (“Rewards Programs”). Rewards may include physical or virtual prepaid cards, merchant-specific cards, or other rewards made available through the Services (“Rewards”). Rewards types, denominations, delivery methods, restrictions, and geographic availability may vary.
Customer determines each Rewards Program’s eligibility requirements, performance criteria, Reward amounts, and Recipients (as defined herein). Customer is responsible for communicating the terms of its Rewards Programs to End Users and resolving disputes concerning eligibility or Customer’s decision to provide or deny a Reward.
2. Program Administration
Motive may use third-party service providers, financial institutions, payment networks, processors, and other providers to administer Rewards Programs, verify eligibility, process Rewards instructions, issue and deliver Rewards, and provide related support (collectively, “Program Providers”).
Any prepaid card made available through Driver Rewards will be issued by a bank or other financial institution authorized to issue the applicable card (“Issuing Financial Institution”).
Motive does not issue prepaid cards, is not a bank, and does not hold funds belonging to Recipients. The applicable Issuing Financial Institution and Program Providers control card issuance, activation, use, suspension, expiration, and redemption, subject to the applicable Recipient Terms.
Motive may replace a Program Provider or Issuing Financial Institution or modify available Rewards types. Rewards availability may depend on Program Provider, Issuing Financial Institution, payment network, legal, regulatory, or operational requirements.
3. Funding and Payment
Customer authorizes Motive to charge Customer’s Payment Method on file for Driver Rewards or invoice Customer for Reward amounts and applicable fees at the time disclosed through the Services or an Order Form, which may occur before Rewards are issued.
Customer payments are payments to Motive for Driver Rewards and are not deposits, escrow funds, trust funds, or funds held for Customer or any Recipient.
Customer must maintain a valid Payment Method and sufficient funds. Motive may delay issuing Rewards until it receives cleared funds. If payment fails, is returned, reversed, or charged back, or is past due, Motive may suspend Customer’s access to Driver Rewards or cancel pending Rewards.
4. Business Verification
Customer authorizes Motive to collect and share Customer’s employer identification number, formal legal name, business address, and other information reasonably required to verify Customer’s identity and eligibility for Driver Rewards (“Business Verification Information”).
Motive may share Business Verification Information with Program Providers for know-your-business verification, sanctions screening, fraud prevention, regulatory compliance, program administration, and related purposes.
Customer represents and warrants that its Business Verification Information is accurate, complete, and current. Customer must promptly update that information and provide any additional information or documents reasonably requested to complete or maintain verification.
Customer’s access to Driver Rewards and the issuance of any Reward may be delayed, restricted, or denied until required verification is completed.
5. Recipients and Recipient Information
Customer may designate its employees, contractors, or other End Users as approved by Motive to receive Rewards (“Recipients”).
Customer represents and warrants that: (a) Customer has the right to provide Recipient information and Reward instructions to Motive and Program Providers; (b) Recipient information and Reward instructions are accurate and complete when submitted; (c) Customer has provided all legally required notices and obtained all legally required rights and consents; and (d) the Administrator approving a Reward has authority to act for Customer.
Customer authorizes Motive to share Recipient information, Reward instructions, and related Customer Data with Program Providers as necessary to administer Rewards Programs.
Customer acknowledges that Program Providers may independently process Recipient information under their own privacy notices to perform card issuance, regulatory compliance, identity verification, fraud prevention, payment processing, and customer support functions.
6. Recipient Terms
Recipients may be required to provide additional information, complete identity verification, activate a Reward, or accept separate terms, privacy notices, fee schedules, and disclosures provided by Program Providers (“Recipient Terms”). Recipient Terms govern the issuance, activation, use, expiration, replacement, suspension, cancellation, and other operation of the applicable Reward.
Reward issuance is subject to Recipient eligibility and approval by the applicable Program Providers. If the Recipient Terms conflict with these Driver Rewards Terms concerning the issuance, operation, or use of a Reward, the Recipient Terms control solely with respect to the relationship between the Recipient and the applicable Program Providers.
7. Customer Responsibilities
Customer is solely responsible for establishing and administering its Rewards Programs, determining Recipient eligibility, authorizing Rewards, communicating applicable program terms, resolving program-related disputes, and complying with Customer’s policies and Applicable Law.
Customer may not require a Recipient to provide consideration for a Reward, offer or resell Rewards to the public, or use Driver Rewards to satisfy payroll, expense-reimbursement, or other payment obligations owed to a Recipient. Rewards are intended for private loyalty, award, recognition, incentive, or promotional programs.
Customer is responsible for determining the tax treatment of Rewards and satisfying all related withholding, reporting, payment, and tax-form obligations, except to the extent Motive expressly agrees in writing to provide specific tax-reporting support.
8. Reward Restrictions and Limits
Prepaid cards made available through Driver Rewards are promotional and may be non-reloadable, non-transferable, unavailable for cash redemption, and subject to expiration, transaction, geographic, merchant, cash-access, and other restrictions.
Motive or the applicable Program Providers may establish or modify limits on Reward amounts, frequency, aggregate value, issuance, use, and availability. Applicable limits and restrictions may be provided through the Services, an Order Form, Documentation, or Recipient Terms.
Motive may reject, delay, suspend, or cancel a Reward due to incomplete information, eligibility or verification requirements, failed or past-due payment, suspected fraud or misuse, applicable limits, legal or network requirements, or a Program Provider’s decision.
9. Cancellation, Expiration, and Unused Amounts
All amounts paid for Rewards are final and non-refundable, notwithstanding anything to the contrary in the Terms. Motive may permit Customer to request cancellation before issuance, but cancellation is not effective until confirmed by Motive and does not entitle Customer to a refund or credit.
Once issued, a Reward is final and non-refundable and expires as stated in the applicable Recipient Terms. Motive has no obligation to replace, refund, or credit expired or unused Reward value.
10. Support
Motive may provide support with respect to Driver Rewards, e.g. program setup, Reward status, or which Program Provider to contact. Any help Motive provides is in addition to, and does not change, the responsibilities described in these Driver Rewards Terms.
Questions concerning Reward issuance, activation, delivery, use, balances, expiration, disputes, or replacement will be handled as stated in the applicable Recipient Terms. Customer is responsible for questions and disputes concerning: (a) Rewards Program rules; (b) Recipient eligibility; (c) performance calculations, scoring, or rankings; (d) Customer’s approval or denial of a Reward; and (e) employment or contractor matters involving a Recipient.
The applicable Program Providers are responsible for Reward activation, delivery, balances, unauthorized transactions, declined transactions, expiration, and replacement, as described in the Recipient Terms.
11. Suspension and Termination
In addition to its rights under the Terms, Motive may suspend or terminate access to Driver Rewards or cancel pending Rewards due to failed or past-due payment, incomplete verification, suspected fraud or misuse, legal or regulatory requirements, Program Provider requirements, or Customer’s breach of these Driver Rewards Terms, regardless of whether Customer’s subscription otherwise includes access to Driver Rewards. Customer remains responsible for amounts incurred before suspension or termination. Rewards already issued remain subject to the applicable Recipient Terms.
12. Order of Precedence
These Driver Rewards Terms are Additional Terms under the Terms. Any conflict among the Terms, an Order Form, these Driver Rewards Terms, and Documentation will be resolved according to the order of precedence stated in the Terms, except that Sections 9 and 11 of these Driver Rewards Terms control over any conflicting provision of the Terms.
